5.1. The Charter fund of the Agency is 644987156 (six hundred forty-four million nine hundred eighty-seven thousand one hundred fifty-six) manat.
5.2. The Agency’s assets is comprised of the founder’s paid-up charter fund, other property transferred to the Agency by the founder, funds allocated from the state budget, income from activities, donations, grants involved, investments, and other funds that are not prohibited by law.
5.3. The Agency shall only use its assets for the purposes specified in this Charter. The Agency shall exercise its authority over state property on its balance sheet in accordance with this Charter and applicable legislation.
5.4. After paying taxes and other mandatory payments required by law, the Agency has the authority to independently manage the profits of its economic societies, branches, subsidiaries, and representative offices.
5.5. In cases where the Agency renders services and performs legal actions stipulated by the Law of the Republic of Azerbaijan “On State Duties”, the state duty shall be charged in the manner and amount set forth in this Law.
5.6. Prices for Agency goods (works, services) provided in the list of goods (works, services) whose prices are set by the Cabinet of Ministers of the Republic of Azerbaijan refer to state-regulated prices.”

1. General provisions
1.1. The Azerbaijan State Automobile Roads Agency (hereinafter referred to as the “Agency”) is a public legal entity operating in the provision of services in automobile road industry of the Republic of Azerbaijan, also ensures designing, construction, operation, restoration, repair, reconstruction of automobile roads on its balance sheet (hereinafter referred to as “automobile roads”), as well as bridges, tunnels and other road facilities, protection and control of automobile roads and road facilities, as well as ensuring that other works related to the development of road infrastructure (hereinafter referred to as “in the relevant field”) are carried out in a complex manner.
1.2. The activities of the Agency shall be governed by the Constitution of the Republic of Azerbaijan, the laws of the Republic of Azerbaijan, the present Charter, other decrees and orders of the President of the Republic of Azerbaijan, decrees and orders of the Cabinet of Ministers of the Republic of Azerbaijan, other normative legal acts.
1.3. In performing its duties and exercising its rights, the Agency shall co-operate with state and local self-governing bodies, international and non-governmental organizations, other legal and natural persons.
1.4. The Agency is engaged in activities of national importance. The Agency may engage in entrepreneurial activities in order to achieve the objectives set out in this Charter.
1.5. The Agency has an independent balance sheet, property, treasury and bank accounts, a seal engraved with its name, appropriate stamps and letterheads, and a logotype (emblem).
1.6. According to the law, the Agency has the authority to enter into transactions, acquire and exercise property and non-property rights and obligations on its own behalf, and act as a plaintiff or defendant in court.
1.7. The agency is located in Baku.
2. Main purposes and activities of the Agency
2.1. Main purposes of the Agency are to render services in automobile road industry of the Republic of Azerbaijan, designing, construction, operation, restoration, repair, reconstruction of automobile roads, as well as bridges, tunnels and other road facilities (crossings, buildings and facilities), protection and control of automobile roads and road facilities and ensuring that other works related to the development of road infrastructure are carried out in a complex manner.
2.2. The directions of the Agency’s activities are as follows:
2.2.1. ensuring the development of the area concerned;
2.2.2. participating in the formulation of uniform state policy in road industry and ensuring the implementation of such policy;
2.2.3. organizing forecasting and planning work in the relevant area.
3. Rights and obligations of the Agency
3.1. The Agency shall perform the following tasks in accordance with the directions of activities defined in this Charter:
3.1.1. participating in the development and implementation of state programs, strategies and development concepts in the relevant area;
3.1.2. participating in the development of the foundations of a unified technical, financial, credit and targeted investment policy for the road industry;
3.1.3. organizing and ensuring that tenders (competitions) are held in accordance with procurement law for the purchase of goods (works, services) in connection with business activities;
3.1.4. preparing proposals for the development of the relevant sector and submitting them to the relevant public authorities;
3.1.5 analyzing the economic and financial situation of the Agency, its offices, branches and representative offices, as well as its affiliates and taking measures with purpose of improving the efficiency of their activities;
3.1.6. ensuring compliance with environmental safety standards when carrying out business activities, as well as compliance with environmental and public health protection regulations;
3.1.7. taking measures for establishment, restoration and protection of protective forest belts and other green spaces on dirt roads;
3.1.8. taking measures, in accordance with town planning and construction legislation, to prevent the construction of illegal buildings and facilities on dirt roads;
3.1.9. ensuring that a register of automobile roads is created and maintained;
3.1.10. providing a special mode of use in the protected (security) lanes of automobile roads;
3.1.11. providing mobilization training and civil defense training for personnel of the Agency, its offices, branches and representative offices, as well as for personnel of its affiliates;
3.1.12. ensuring that budgetary funds, loans, grants and other financial resources allocated to the Agency are used effectively for the intended purposes;
3.1.13. taking measures to strengthen the material and technical base of the road industry, ensuring its effective use;
3.1.14. carrying out the production and sale of raw materials and supplies required for the road industry in accordance with its activity directions;
3.1.15. approval for the construction of appropriate engineering communications over roads, bridges, tunnels, and other road facilities;
3.1.16. making proposals for the development of international transport corridors passing through the territory of the Republic of Azerbaijan;
3.1.17. making proposals to the Cabinet of Ministers of the Republic of Azerbaijan for amendments to the list of roads of national and local importance, as well as urban highways;
3.1.18. making proposals on organization and operation of toll roads, bridges, tunnels and other road facilities in the international transport corridor passing through the territory of the Republic of Azerbaijan and other alternative highways;
3.1.19. raising the issue of roads where temporary traffic restrictions are required during natural disasters and emergencies with the appropriate public authorities;
3.1.20. carrying out restoration works on automobile roads and road facilities in order to eliminate the consequences of a natural disaster;
3.1.21. taking measures for expert review of design and estimate documentation for construction, reconstruction, repair and restoration of automobile roads, as well as bridges, tunnels and other road facilities in accordance with the legislation on urban planning and construction;
3.1.22. if a license is required for the design, construction, management, maintenance, protection, current, medium and capital repair, reconstruction of automobile roads, as well as bridges, tunnels and other road facilities, performing such works without obtaining a license;
3.1.23. taking measures for the commissioning of roads as well as bridges, tunnels and other road facilities;
3.1.24. marking the boundaries of rumble strips on automobile roads;
3.1.25. providing technical conditions for construction, reconstruction and repair of connections of roadside service facilities to automobile roads and supervising over them.
3.1.26. participating in tenders (competitions) held in the Republic of Azerbaijan and abroad to select designers and contractors for implementation of projects related to construction and reconstruction of roads, bridges and other road facilities in accordance with the current legislation;
3.1.27. providing technical and author’s supervision during the implementation of projects related to construction, restoration, repair and reconstruction of automobile roads, bridges, and other road facilities;
3.1.28. conducting technical tests of bridges and other road facilities and taking measures to engage specialized enterprises to carry out technical tests;
3.1.29. drawing up the technical passport for automobile roads, bridges, tunnels, and other road facilities;
3.1.30. arranges for the acceptance of documents from institutions assessing the conformity of materials, devices and equipment used on roads;
3.1.31. carrying out independent (within the structure) transfers from the balance sheet to the balance sheet of property on the balance sheet of the Agency, its departments, branches and representative offices, as well as economic societies and informing about it;
3.1.32. Putting in place measures to protect the Agency’s employees’ social welfare, as well as to improve working conditions and occupational safety and health;
3.1.33. reviewing incoming applications concerning the Agency’s activities;
3.1.34. organizing the information support of the Agency and its security;
3.1.35. ensuring that the public is informed of the Agency’s activities, creating the Agency’s website, posting publicly accessible information on its website, a list of which is defined by the Law of the Republic of Azerbaijan “On Access to Information,” and constantly updating this information;
3.1.36. performing other duties determined by acts of the President of the Republic of Azerbaijan;
3.2 The Agency shall have the following rights to perform its duties:
3.2.1. drafting or participating in the drafting of legal acts regulating the relevant area;
3.2.2. providing opinions and proposals on activity directions, conducting analyses and summaries, preparing analytical materials, and conducting research;
3.2.3. involving independent experts and specialists in its activities in the manner prescribed by law;
3.2.4. exercising the rights prescribed by law in relation to the property in the Agency’s use;
3.2.5. learning best practices in this field in order to develop road infrastructure, cooperating with relevant institutions and organizations in foreign countries in accordance with legislation;
3.2.6. issuing special bulletins and other publications;
3.2.7. organizing professional development trainings and other types of training to improve employees’ professionalism;
3.2.8. establishing or participating in economic societies in order to carry out the Agency’s obligations;
3.2.9. requesting public authorities and local self-governing authorities, legal entities, and natural persons to provide information (documents) relating to their activity directions and obtaining such information (documents) from them;
3.2.10. Other rights established by acts of the President of the Republic of Azerbaijan;
4. Agency management
4.1. In its operations and management, the Agency applies advanced corporate governance standards.
4.2 The management body of the Agency shall be the Management Board.
4.3. The Agency is managed and controlled by the Management Board. The Management Board is made up of three members: the Chairman of the Management Board, who is appointed and dismissed by the President of the Republic of Azerbaijan, and his or her two deputies.
4.4. In the temporary absence of the Chairman of the Board, his or her powers shall be exercised by another member of the Board as determined by the Chairman of the Board.
4.5. The Board shall have the following duties:
4.5.1. determines the direction of the Agency’s development;
4.5.2. exercises the founder’s powers, makes proposals and submits documents to the President of the Republic of Azerbaijan and the Cabinet of Ministers of the Republic of Azerbaijan, respectively.
4.5.3. prepares an annual report on the Agency’s activities and submits it to the President of the Republic of Azerbaijan;
4.5.4. examines draft legal acts relating to the improvement of the Agency’s activities and submits them to the appropriate state bodies and agencies;
4.5.5 ensures the efficient use of funds for the intended purposes provided for in sub-paragraph 3.1.12 of this Charter;
4.5.6 determines the number of employees of the Agency and their position salaries;
4.5.7. approves the structure, staffing table and cost estimates of the Administrative Office of the Agency and its institutions within the established structure, wage fund and staff limit;
4.5.8 approves the Agency’s internal rules, as well as the regulations on the structural units of the Administrative Office of the Agency, and the regulations on the branches, subsidiaries and representative offices of the Agency;
4.5.9. determines the rules and conditions for the elimination of conflicts of interest in the activities of the Management Board and employees and monitors their implementation;
4.5.10. With the approval of the Cabinet of Ministers of the Republic of Azerbaijan, takes a decision on the establishment or participation in economic societies of the Agency, as well as the establishment of branches, subsidiaries, and representative offices of the Agency,
4.5.11. With the approval of the Cabinet of Ministers of the Republic of Azerbaijan, makes a decision on concluding transactions (transactions of special significance) totaling more than 25% of the Agency’s net assets and transactions with a relevant person totaling 5% or more of the Agency’s assets.
4.5.12. decides to enter into a transaction with a relevant person, the value of which is up to 5% of the Agency’s assets;
4.5.13. appoints the Agency’s external auditor and receives the audit report.
4.6. The Management Board shall meet at least once a month. Meetings of the Management Board must be initiated by a member of the Management Board. A Board meeting is competent if at least two members of the Board are present. Meetings of the Board shall be minuted, and decisions on the issues discussed shall be made. At a Board meeting, decisions are made by a simple majority vote, with each member having one vote. When the number of votes is evenly divided, the vote of the Chairman of the Management Board (or a member of the Management Board substituting the Chairman) shall be decisive. Members are not permitted to abstain from voting.
4.7. Chairman of the Management Board:
4.7.1 manages the Agency’s activities and represents the Agency;
4.7.2. shall organize the Management Board’s activities, set the agenda for its meetings, and preside over its meetings;
4.7.3. makes a presentation to the President of the Republic of Azerbaijan on the appointment and dismissal of the chairman’s deputies;
4.7.4. determines the division of duties among the chairman’s deputies;
4.7.5 approves the Regulation on the Agency’s Scientific and Technical Council;
4.7.6 approves the Charters of the economic societies of the Agency and decides on making appropriate amendments to them;
4.7.7. makes presentations to the appropriate authorities regarding the awarding of honorary titles and other awards to employees who have distinguished themselves in their work;
4.7.8. organizes the monitoring of the implementation of the Agency’s decisions;
4.7.9. signs relevant international documents within the scope of the authority granted;
4.7.10. makes proposals for the formation of the state budget for the relevant fiscal year on issues concerning the Agency;
4.7.11. supervises the implementation of the Agency’s budget and action plans.
4.7.12. ensures that funds allotted to the Agency are used efficiently;
4.7.13. issues powers of attorney, opens a settlement account and other bank accounts, and signs bills and payment orders;
4.7.14. implements joint projects, with or without the formation of a legal entity (joint ventures), in order to effectively organize the Agency’s activities, and manages these projects in accordance with the founding documents;
4.7.15. convenes meetings of the Board on its own initiative or on the initiative of any other member of the Board;
4.7.16. invites other people to attend a Management Board meeting on his/her own initiative as well as at the request of any other member of the Management Board;
4.7.17. organizes, verifies, and monitors the execution of acts adopted on the Agency’s activities;
4.7.18. issues internal orders and instructions that are legally binding on how the Agency’s activities are organized;
4.7.19. ensures the reception of citizens and the processing of their applications at the Agency;
4.7.20. performs record keeping and archival work at the Agency;
4.7.21. decides on the appointment and dismissal of Agency employees, including its structural subdivisions, branches, and representative offices, as well as heads of economic societies, their deputies, chief engineers, and chief accountants, as well as incentives and disciplinary measures affecting them, except in cases provided for in this Charter;
4.7.22. supervises the use of the property of the Agency for the purposes specified in this Charter;
4.7.23. cancels decisions made by Agency officials that are in violation of the legislation;
4.7.24. conducts transactions on the Agency’s behalf, enters into contracts, and ensures their fulfillment within the limits of the authority defined in this Charter;
4.7.25. takes the necessary steps to safeguard state secrets and confidentiality in the Agency’s operations;
4.7.26. establishes advisory committees and working groups to oversee the Agency’s activities.
4.7.27. decides whether to conduct audits of the Agency’s branches, subsidiaries, and representative offices, as well as economic companies’ financial and economic activities;
4.7.28. takes other measures relating to the organization of the Board’s activities;
4.8. Members of the Management Board:
4.8.1. participate in resolving issues relating to the Management Board’s competence;
4.8.2. familiarize themselves in advance with the agenda and materials to be considered at a Management Board meeting;
4.8.3. express their opinion on decisions to be taken by the Board;
4.8.4. make proposals for the consideration of matters within the competence of the Management Board at meetings of the Management Board;
4.8.5. familiarize themselves with the decisions of the Management Board, minutes of the Management Board meetings and other documents.
4.9. Members of the Board shall approach issues considered at meetings of the Board impartially and shall avoid actions and speeches that may prejudice the name of a member of the Board.

6. Control over the Agency’s activities in terms of form and scope.
6.1. Within the delegated founding authority, the President of the Republic of Azerbaijan and the Cabinet of Ministers of the Republic of Azerbaijan exercise control over the Agency’s activities.
6.2 An annual report on the activities of the Agency shall be submitted to the President of the Republic of Azerbaijan.
7. Accounting and reporting at the Agency.
7.1. The Agency shall keep accounting records, compile, present, and publish financial statements in accordance with the procedure established by the Law of the Republic of Azerbaijan “On Accounting” for public legal entities.
7.2. In accordance with the Law of the Republic of Azerbaijan on “Official Statistics,” the Agency keeps statistical records and compiles statistical reports.
7.3. The first fiscal year of the Agency begins on the date of its state registration and ends on 31 December of that year. The next financial year begins on 1 January and ends on 31 December.
7.4 The Agency shall ensure that the financial and economic activities of the Agency’s branches, subsidiaries and representative offices, as well as economic societies, are audited.
8.1. The Agency shall establish an internal audit service. The Internal Audit Service shall carry out the duties outlined in the Law of the Republic of Azerbaijan on “Internal Audit.”
8.2. The independent (external) audit of the Agency’s financial and economic activities is carried out in accordance with the Civil Code of the Republic of Azerbaijan and the Law of the Republic of Azerbaijan “On the Audit Service.”
9. Abolishment and reorganization of the Agency.
9.1. Any resolutions concerning the Agency’s abolishment and reorganization must be approved by the President of the Republic of Azerbaijan.

Bakı. 18 may. REPORT.AZ/ Nazirlər Kabineti “Ümumi istifadədə olan avtomobil yollarının adlandırılması, indeksasiyası və qeydiyyata alınması Qaydaları”nda bir sıra dəyişikliklər edib. “Report” xəbər verir ki, bu barədə qərarı baş nazir Novruz Məmmədov imzalayıb. Qərara əsasən ümumi istifadədə olan respublika və yerli əhəmiyyətli avtomobil yollarının siyahısı onların adı və indeksləri göstərilməklə (beynəlxalq avtomobil yollarının adlandırılması və indeksasiyası barədə beynəlxalq sazişlər nəzərə alınmaqla) Azərbaycan Avtomobil Yolları Dövlət Agentliyinin təqdimatına əsasən Azərbaycan Respublikasının Nazirlər Kabineti tərəfindən təsdiq ediləcək. Respublika və yerli əhəmiyyətli avtomobil yollarının adlandırılması və indeksasiyası Azərbaycan Avtomobil Yolları Dövlət Agentliyinin təqdimatı ilə Azərbaycan Respublikasının Nazirlər Kabineti tərəfindən, digər dövlət avtomobil yollarının adlandırılması və indeksasiyası yerli icra hakimiyyəti orqanları (şəhər rayonu icra hakimiyyətləri istisna olmaqla) tərəfindən müəyyənləşdiriləcək. Avtomobil yollarının texniki pasportunun forması Azərbaycan Respublikasının Əmlak Məsələləri Dövlət Komitəsi ilə razılaşdırılmaqla Azərbaycan Avtomobil Yolları Dövlət Agentliyi tərəfindən hazırlanacaq və təsdiq ediləcək. Digər dəyişikliyə əsasən, Azərbaycan Avtomobil Yolları Dövlət Agentliyi avtomobil yollarının qeydiyyatını aparacaq, bu barədə reyestrdə müvafiq qeydlər edəcək. Avtomobil yollarının ümumi siyahısı və rəsmi xəritəsi Azərbaycan Avtomobil Yolları Dövlət Agentliyi tərəfindən hazırlanacaq. Azərbaycan Avtomobil Yolları Dövlət Agentliyi avtomobil yollarının daşınmaz əmlakın kadastrı xəritəsində yerləşdirilməsi üçün zəruri olan məlumatları yarım ildə bir dəfə razılaşdırılmış formada və qaydada Azərbaycan Respublikasının Əmlak Məsələləri Dövlət Komitəsinə təqdim edəcək. Avtomobil yollarının texniki pasportu təsdiq olunmuş formaya uyğun olaraq Əmlak Məsələləri Dövlət Komitəsi tərəfindən verilmiş kadastr məlumatlarına əsasən yol təsərrüfatı subyektləri tərəfindən iki nüsxədə hazırlanır və nüsxələrin biri yolun qeydiyyata alınması üçün Azərbaycan Avtomobil Yolları Dövlət Agentliyinə təqdim edilir.
Avtomobil icarəsi
